Terms of Service — FreshNews AI - AI Search SEO

1. The Service

The App helps Shopify merchants improve product discoverability in AI search and answer engines by auditing product content, generating suggested descriptions, FAQs, and structured schema markup, and (on eligible plans) monitoring citation presence for selected queries.

Features available to you depend on your subscription plan and Shopify permissions granted at install. We may update, add, or remove features over time.

2. Eligibility and Account

You must be authorized to bind the Shopify store on which you install the App. You are responsible for maintaining the security of your Shopify admin access and for activity under your store account.

3. Subscription and Billing

Paid plans are billed through Shopify Billing. Charges, trials, renewals, upgrades, downgrades, and cancellations follow Shopify's billing terms and the plan details shown at checkout in the App.

Fees are non-refundable except where required by applicable law or expressly stated in your plan terms at purchase. You may cancel through Shopify or by uninstalling the App, subject to Shopify's billing cycle rules.

4. Acceptable Use

You agree not to:

• Use the App in violation of applicable law, Shopify's terms, or third-party rights
• Attempt to reverse engineer, scrape, or abuse the App or its infrastructure beyond normal merchant use
• Submit content or use the App to generate misleading, unlawful, infringing, or harmful material
• Interfere with the App's security, availability, or other merchants' use of the service

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a security or legal risk.

5. Your Data and Generated Content

You retain ownership of your store data and product content. You grant FreshNews AI LLC a limited license to access, process, and store your store data as needed to provide and improve the App, consistent with our Privacy Policy.

The App uses artificial intelligence to generate suggested product content based on data you provide from your store. You are responsible for reviewing generated drafts before applying them to your live store. Applied content is published under your direction; you are solely responsible for ensuring accuracy, compliance with applicable laws (including advertising and consumer protection rules), and alignment with your brand standards.

We do not guarantee that generated content will improve rankings, citations, traffic, or sales.

6. Third-Party Services

The App integrates with Shopify and may rely on third-party AI and monitoring providers described in our Privacy Policy. Your use of Shopify is governed by Shopify's terms. We are not responsible for third-party services outside our reasonable control.

7. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS WILL MEET YOUR EXPECTATIONS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FreshNews AI LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE APP.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE APP IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

9. Indemnification

You will defend, indemnify, and hold harmless FreshNews AI LLCfrom claims, damages, and expenses (including reasonable legal fees) arising from your store content, your use of the App, your violation of these Terms, or your violation of any law or third-party rights.

10. Term and Termination

These Terms remain in effect while you use the App. You may stop using the App by uninstalling it from your Shopify store. We may terminate or suspend the App with notice where practicable, or immediately for material breach or legal requirement.

Sections that by nature should survive (including disclaimers, limitation of liability, and indemnification) survive termination.

11. Changes

We may modify these Terms from time to time. Updated Terms will be posted at this URL with a revised “Last updated” date. Continued use of the App after changes become effective constitutes acceptance of the updated Terms, except where applicable law requires otherwise.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your jurisdiction apply.
